Shares of Autodesk, Inc. (ADSK) drew the market’s attention yesterday after news reports indicated that shareholder activist Starboard Value had acquired a $500 million stake in the software products and services company and is advocating for significant alterations.
Starboard Value, led by Jeff Smith, has recently engaged with Autodesk’s board to address several pressing issues, particularly concerning the company’s revelations related to internal scrutiny that resulted in the removal of its Chief Financial Officer. The stock of Autodesk ended Tuesday’s trading session at $244.12, up $3.61, or 1.50%, from the prior close.
Starboard Value’s stake, estimated at approximately $500 million, reflects its ongoing interest in the tech domain. The activist fund has raised concerns regarding the timing of the San Francisco, California-based company’s divulgence of an internal inquiry, which threw light on the fact that executives had misguided shareholders regarding the company’s free cash flow measures and operating leeway. These revelations, disclosed by sources familiar with the matter, have raised questions about the integrity of Autodesk’s financial reporting.
The investigation led to the ousting of then-CFO Deborah Clifford, who was reassigned to another executive position within the company. The investigation established that Autodesk executives had altered financial metrics related to the engineering software firm’s contract billing format, transitioning from annualized to pre-payments to boost reported figures.
Autodesk initially acknowledged the internal probe in April, nearly a month after it had begun and after notifying the Securities and Exchange Commission (SEC). This delay in disclosure coincided with a significant drop in Autodesk’s stock price, which fell by 20% in the subsequent weeks, reducing the company’s market capitalization to just under $50 billion.
The timing of the revelation, occurring shortly after the cut-off date for nominating directors had passed, has been particularly concerning to Starboard. The narrow window raised suspicions that Autodesk’s board might have intentionally delayed informing investors to limit their power to designate alternative board candidates before the annual meeting.
Starboard is reportedly considering legal proceedings in the Delaware Court of Chancery to reopen the nomination timeframe and postpone Autodesk’s annual shareholder meeting, currently planned for July 16.
Starboard also believes there are opportunities for Autodesk to enhance its margins and enhance investor interactions, which could potentially boost the company’s stock performance. According to sources, the activist fund met with Autodesk executives to talk about these concerns, emphasizing the need for better enterprise governance and operational transparency.
So far, the year has not gone well for Autodesk’s stock, which has witnessed the market’s wrath, exacerbated by the company’s announcement in April that it had postponed its annual report due to the accounting investigation. Despite an update last month indicating that the investigation did not raise any red flags and that no amendments to financial statements were necessary, Starboard remains critical of Autodesk’s delayed disclosure of the probe, particularly given the timing relative to the nomination time frame closure.
In addition to internal scrutiny, Autodesk has revealed that it is also under investigation by the Department of Justice and the SEC, further complicating the company’s situation. Starboard’s involvement and potential legal actions underscore the growing pressure on Autodesk to address these governance and operational issues promptly.
The stake purchase is expected to keep Autodesk’s stock slightly bullish in the near term.
The historical price chart indicates that the stock of Autodesk is rising after testing the support at $223. The next resistance is anticipated to be only near $255. Additionally, the stock is trading above its 50-day moving average, while the MACD indicator is showing a positive reading. Therefore, we anticipate Autodesk’s stock to remain in an uptrend for the next few trading sessions.
